Franchising to Become Easier

Recent announced changes in the process of complying with various federal and state franchise offering disclosure and registration requirements mean franchisors are able to take advantage of more streamlined processes in registering and marketing their system. Among the current and anticipated changes are:

State regulations which permit registration of offering circulars through notice filings and/or dissemination through electronic publication.

As of 2004, a single coordinated review, under the auspices of the North American Securities Administrators Association (NASAA), can be had for registration of franchise offering circulars in two or more of the following states:

  • California
  • Minnesota
  • Rhode Island
  • Hawaii
  • New York
  • Virginia
  • Illinois
  • North Dakota
  • Washington
  • Maryland
  • South Dakota

Federal Trade Commission rule changes are expected to adopt the disclosure format of the Uniform Franchise Offering Circular, doing away with the FTC disclosure format.
